These supplementary terms apply in addition to Goodfish’s standard Terms & Conditions and should be read in conjunction with them. In case of conflict, these supplementary terms prevail in relation to the tooling investment support promotion only.
- Promotion Eligibility & Period
1.1 This promotion (“the Promotion”) is valid for applications submitted between 20th January 2026 and 28th February 2026 (“Promotion Period”).
1.2 The Promotion is open to:
- New customers who have not previously placed orders with Goodfish Group Ltd, Goodfish (North West) Limited, or Powell and Harber (Precision Engineers) Limited; and
- Existing customers seeking to develop new tooling for additional product lines not currently manufactured by Goodfish.
1.3 Goodfish reserves the right to determine eligibility at its sole discretion.
- Tooling Investment Support
2.1 Subject to approval, Goodfish will provide financial support towards new tooling investment for:
- Injection moulding tooling; and/or
- Rigid PVC extrusion dies.
2.2 The level of financial support will be determined on a case-by-case basis following a detailed business case review of each application.
2.3 There is no pre-defined cap on the total tooling cost eligible for consideration or on the maximum value of support that may be provided.
2.4 Each application will be assessed based on its individual merits and the information provided in the Application Form.
- Application & Approval Process
3.1 Customers must complete Goodfish’s Tooling Investment Application Form in full and submit it before 23:59 on 28th February 2026.
3.2 All Application Forms submitted during the Promotion Period will be reviewed by Goodfish.
3.3 Goodfish may request additional information from applicants to support the business case review. Applicants must provide such information within the timeframe specified by Goodfish.
3.4 Applications will be assessed based on:
- Technical feasibility and alignment with Goodfish’s capabilities;
- Projected order volumes and commercial viability;
- Customer creditworthiness;
- Available capacity and resources;
- Strategic fit with Goodfish’s business objectives.
3.5 Successful applicants will be notified by 31st March 2026.
3.6 Goodfish reserves the right to reject any application without providing reasons.
3.7 Approval of tooling investment support does not constitute acceptance of any Order. Formal Contract formation remains subject to clause 2 of the standard Terms & Conditions.
- Terms of Support
4.1 The specific terms of tooling investment support, including but not limited to:
- The amount and form of financial support;
- Minimum order commitments;
- Clawback provisions;
- Exclusivity requirements;
- Timelines for order placement and completion;
shall be defined and mutually agreed in writing between Goodfish and the successful applicant prior to any work commencing.
4.2 Both parties must enter into a binding agreement documenting these specific terms before Goodfish proceeds with tooling manufacture or provision of financial support.
4.3 Failure to reach agreement on the specific terms within a reasonable timeframe may result in withdrawal of the approval without liability to either party.
- Tooling Ownership & Specifications
5.1 All tooling for which Goodfish provides investment support shall remain the property of the Customer but shall be held by Goodfish as Customer Tooling pursuant to clause 7.1(f) of the standard Terms & Conditions.
5.2 The Customer grants Goodfish a licence to use such tooling for the manufacture of Goods for the Customer for the period agreed in the specific terms documented under clause 4.
5.3 Tooling design and specifications must be approved in writing by Goodfish prior to manufacture commencing.
5.4 The Customer shall be responsible for all costs related to tooling modifications requested after initial approval, maintenance beyond normal wear and tear, and repairs due to misuse or Customer-supplied design defects, in accordance with clause 7.1(g) of the standard Terms & Conditions.
- Intellectual Property
6.1 Ownership of any Intellectual Property Rights arising from tooling development will be determined and documented in the specific terms agreed under clause 4.
6.2 The Customer warrants that any designs, specifications, or technical information provided do not infringe third-party Intellectual Property Rights and shall indemnify Goodfish in accordance with clause 3.5 of the standard Terms & Conditions.
- Confidentiality
7.1 Both parties acknowledge that tooling designs, specifications, pricing, and commercial terms relating to this Promotion are confidential and subject to clause 11 of the standard Terms & Conditions.
7.2 The Customer consents to Goodfish using anonymised case study information about the tooling project for marketing purposes, unless otherwise agreed in writing.
- Limitations & Exclusions
8.1 Tooling investment support:
- Is limited to one application per Customer during the Promotion Period;
- Cannot be combined with other Goodfish promotions or discounts unless expressly agreed in writing;
- Does not apply to tooling transfers or existing tooling modifications;
- Is subject to availability and approval and may be withdrawn at any time.
8.2 Goodfish’s total liability in relation to the Promotion shall not exceed the value of tooling investment support provided and remains subject to clause 12 of the standard Terms & Conditions.
8.3 Late applications received after 23:59 on 28th February 2026 will not be considered.
- General
9.1 These supplementary terms shall be governed by English law in accordance with clause 16.10 of the standard Terms & Conditions.
9.2 Goodfish reserves the right to amend these terms or withdraw the Promotion at any time by providing written notice via its website and other marketing channels.
9.3 In the event of any dispute regarding interpretation of these terms, Goodfish’s decision shall be final.
9.4 No representation, warranty or promise is given by Goodfish that any application will be successful.
